SUMMARY: Nothing like making a predatory term more clear.
Term and Termination
4. TERM AND TERMINATION4.1. Term and Termination: This Agreement will take effect when you indicate your acceptance of this Agreement on the enrollment form and continue until terminated in accordance with the terms hereof.
4.2. Termination By You:
4.2.1. You may terminate this Agreement, with or without cause, immediately upon written notice to us which you may send by email marked Termination PrimePartners Affiliate Program.
4.2.2. If there is no activity in the Affiliate’s account on a specific campaign for forty five (45) days, in which case the campaign will be considered as closed and inactive.
4.2.3. If there is no activity in the Affiliate’s account for forty five (45) days, in which case this Agreement will be deemed to have been terminated by the Affiliate without notice
4.3. Termination By Us: We may terminate this Agreement, without cause at any time, upon written notice to you which we may send by email to such email address you have provided to us or by fax to such fax number you may have provided to us. In the event we terminate, we shall be entitled to automatically render any Trackers inoperative.
4.4. Effect of Termination: The following will apply to terminated account:
4.4.1. You shall stop promoting the Site and the Services, and all rights and licenses given to you under this Agreement will terminate immediately;
4.4.2. You shall return all confidential information and cease use of any of Our Marks and the Marketing Materials;
4.4.3. The Operator may withhold the Affiliate’s final payment for a reasonable time to ensure that the correct amount is paid and that there are no debts or liabilities owing from you to it. The Operator will be entitled to deduct from any payments due and payable to the Affiliate, any such debts and liabilities due to it, if any.
4.4.4. Any continued access and use by Players of any of the Sites following the termination of this Agreement (if any) shall not constitute continuation or renewal of this Agreement or a waiver of its termination. For the avoidance of doubt, no additional payments will be due from the Us to You in relation to the same.
4.4.5. Sections 2.9, 3.10, 4.4, 5, 7.4, 7.6 and such other provisions as are necessary for the interpretation or enforcement of this Agreement shall survive any termination or expiry of this Agreement.
SUMMARY: Prime partners expands upon their predatory clause to make it, well… the same. -
